Clause 1: Range of Application

This Agreement is entered into between you (“you”, “your” or “User”) and Mitsubishi Electric Asia Pte Ltd (“Mitsubishi Electric Asia”). This Agreement governs your use of this social media site that Mitsubishi Electric Asia operates, as well as any services  incidental to or provided (hereinafter the “Site”). By accessing and/or using the Site, you acknowledge that you have read and understood, and agree to be bound by this Agreement. You also agree to comply with the terms of use or policies (the “Site Provider Terms”) between you and the third party provider of the Site. However, should there be any inconsistency between this Agreement and the Site Provider Terms, the Site Provider Terms shall prevail to the extent of the inconsistency.

Clause 2: Terms of Use

1. You agree that we may collect, use and disclose any personal data that you provide in accordance with the terms of our Privacy Policy at https://www.mitsubishielectric.com.sg/privacy

2. In the event that you provide any third party individual’s personal data to the Site, you represent and warrant that you have procured the consent of that individual:

    (a) to disclose their personal data on the Site; and

    (b) for Mitsubishi Electric Asia to collect, use and disclose their personal data in accordance with the terms of our Privacy Policy.

3. For the purposes of this Clause, “Information” shall include (but is not limited to) information such as the User's ideas, feedback or suggestions concerning technologies, sales and/or products, but excludes personal data.

4. When you post or supply Information to the Site, you agree that all rights to said Information shall be transferred to Mitsubishi Electric Asia. You agree that Mitsubishi Electric Asia is entitled (but under no obligation) to reproduce, repost and/or modify your Information for any purposes whatsoever without any prior notification or compensation to you.  

5. To the extent that the Information provided by you is protected by industrial property laws, copyright laws or any other laws related to intellectual property rights, you warrant and represent that you own such rights or are granted such rights by the owner to use such Information in the manner and for the purposes contemplated under this Agreement.

6. You acknowledge and agree that Mitsubishi Electric Asia is not and shall not be subject to any obligations, including but not limited to that of confidentiality, regarding the Information provided and bears no liability for protecting the confidentiality of said Information, its use or any evaluation thereof.

7. Mitsubishi Electric Asia may remove any of the Information posted by you at its sole discretion without providing any reasons.

8. If a dispute arises between you and a third party, you shall be liable for resolving the dispute at your own expense. Mitsubishi Electric Asia shall not bear any liability in relation to any such dispute.

9. You agree to indemnify and hold harmless Mitsubishi Electric Asia for all damages, losses, costs and expenses (including any legal costs incurred on an indemnity basis) arising out of any breach of any terms of this Agreement, or in connection with your use of the Site, or any of the content posted by you.

10. Except as expressly provided in this Agreement, there are no other express or implied rights granted to you.

Clause 3: Prohibited Activities

1. The User shall not engage in any of the following activities in connection with the use of the Site:-

    (a) Post or submit any content, or any links to such content, that is defamatory, libelous, seditious, offensive, harassing, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory, or that incites violence;

    (b) Acts that infringe upon the property rights, including intellectual property rights such as copyrights, trademarks, trade secrets etc., or disclose the confidential information, of Mitsubishi Electric Asia or a third party;

    (c) Acts related to or involving criminal offenses;

    (d) Acts that are offensive to public order and/or morals;

    (e) The act of using any information obtained through the Site contrary to Clause 5 (Protection of Intellectual Properties) without obtaining prior written consent from Mitsubishi Electric Asia;

    (f) The act of using the Site to conduct sales activities or provide information for the purpose of profit without obtaining prior written consent from Mitsubishi Electric Asia;

    (g) Acts that interfere with the operation and maintenance of the Site and other Mitsubishi Electric Asia administrative operations, that harm the credibility of Mitsubishi Electric Asia or are at a risk of doing so;

    (h) The act of altering information regarding the Site, or information supplied through the Site;

    (i) The act of transmitting, sending or including links to malicious computer programmes or similar data;

    (j) Acts that violate laws and regulations (including but not limited to the Personal Data Protection Act 2012) or acts that are at a risk of doing so; and/or

    (k) Other acts that Mitsubishi Electric Asia judges to be inappropriate, in its sole and absolute discretion.

2. If the User breaches any of the terms of this Agreement or posts any information which Mitsubishi Electric Asia determines to be inappropriate, Mitsubishi Electric Asia has the right to block the User from posting on any of its social media sites.

Clause 4 : Disclaimers

1. Information that is supplied via the Site through text or other materials posted by Mitsubishi Electric Asia and other Users may contain personal, subjective evaluations, technical inaccuracies, typographical errors, invalidated reports, or such information that may change over time, or include invalidated reports. Mitsubishi Electric Asia makes no guarantee regarding the completeness, accuracy or safety of any information posted on the Site. Any reliance by you on such information shall be at your sole risk.

2. The Site may contain links to other websites that are not under the control of and are not maintained by Mitsubishi Electric Asia. Mitsubishi Electric Asia is not responsible for the content of those sites. 

3. Mitsubishi Electric Asia shall bear no liability for any damages you may suffer related to the use of the Site.

4. Mitsubishi Electric Asia maintains the right to modify the contents of the Site and/or terminate the Site without notifying you in advance, and shall not bear liability for any damages you may incur.

Clause 5 : Protection of Intellectual Properties

1. The information related to Mitsubishi Electric Asia’s products, services and technologies supplied to the User through the Site is protected by industrial property rights laws, copyright laws and other laws related to intellectual properties. You may use the information in question only for noncommercial purposes or for individual private use. The explicit prior written consent of Mitsubishi Electric Asia is required when using the information in question for any purposes beyond the aforementioned, this includes copying, sending, distributing, transferring and/or adapting. The same conditions apply below for Clause 5(2).

2. The trade names, trademarks and insignias used on the Site by Mitsubishi Electric Asia are protected under Trademark Law, Intellectual Property Law, as well as other laws. You shall not use any of them without the explicit prior written consent of Mitsubishi Electric Asia.

Clause 6 : Modifications

1. Mitsubishi Electric Asia reserves the right to change any of the terms of this Agreement without notifying you in advance. When notification of any change to the Agreement has been posted on the Site, you are deemed to have consented to the revised Agreement by continuing to use the Site, and the revised Agreement shall come into force when published online.

Clause 7 : Website Terms of Use

1. This Agreement incorporates by reference the terms in the Mitsubishi Electric Asia “Website Terms of Use”, published on the Mitsubishi Electric website at: https://www.mitsubishielectric.com.sg/terms-of-use.

2. Should there be any inconsistency between this Agreement and the Website Terms of Use, this Agreement shall prevail to the extent of the inconsistency.

Clause 8 : Applicable Laws and Jurisdiction

1. This Agreement shall be governed by the laws of Singapore.

2. Any conflicts that may arise regarding this Agreement shall be resolved through the exclusive jurisdiction of the Singapore Courts.
